Terms of Service

Helium Digital is a digital agency registered and operating in South Africa. We provide web design and development, AI automations, SEO and content, and social media direction. Our head office is in Johannesburg. Contact us at sales@heliumdigital.co.za.

You may use this site to learn about our services, view our work, and contact us. You agree not to:

• Interfere with the site’s security, availability, or performance.
• Scrape, copy, or republish content without our written permission (other than standard browser caching and search-engine indexing).
• Submit false or misleading information through any form on the site.
• Use the site for any unlawful purpose.

Prices listed on the site are indicative starting points. Every engagement is scoped and quoted in writing. A binding engagement only exists once both parties sign a Helium proposal or service agreement.

Quotes are valid for 30 days unless stated otherwise. Scope, deliverables, timelines, and payment terms are set out in the signed agreement and take precedence over any marketing material on this site.

Unless your signed agreement states otherwise:

• Project work requires a 50% deposit to start, with the balance due on handover.
• Retainer services (SEO, social media, AI maintenance) are billed monthly in advance.
• Invoices are payable within 7 days. Late payment may suspend work and accrue interest at the prime rate + 2%.
• All prices are in South African Rand (ZAR) and exclusive of VAT.

Once a project is fully paid, ownership of the final deliverables (design files, written copy, trained automations, and bespoke code written specifically for you) transfers to you.

Helium retains ownership of:

• Pre-existing frameworks, templates, and internal tools used to produce the work.
• Third-party libraries, which remain governed by their own licences.
• The right to display the work in our portfolio, case studies, and marketing, unless you request otherwise in writing.

All content on this website — text, design, logo, imagery — is the property of Helium Digital and may not be reused without permission.

To deliver on time and on brief, we need you to:

• Provide timely feedback, content, and sign-off.
• Ensure any materials you supply (copy, images, logos) are yours to use and do not infringe third-party rights.
• Pay invoices by their due date.
• Nominate a single decision-maker for approvals to avoid conflicting direction.

Delays caused by late feedback or missing content may extend the timeline and are not grounds for refund.

Each project includes a defined revision allowance set out in the signed agreement. Additional revisions, or changes that expand the agreed scope, are quoted separately before work begins.

You may cancel a project in writing at any time. Fees for work already completed and costs already incurred on your behalf (licences, stock assets, third-party services) are non-refundable.

Retainer services can be cancelled with 30 days’ written notice. Deposits on project work are non-refundable once production has started.

Our work often integrates third-party platforms (hosting, CRMs, analytics, payment providers, AI APIs). Your use of those platforms is subject to their own terms, and we are not responsible for their availability, pricing, or policy changes.

We deliver our services with reasonable skill and care. Beyond that, the site and services are provided “as is” without warranties of any kind, express or implied. We do not guarantee specific business outcomes — such as search rankings, conversion rates, or revenue — since these depend on factors outside our control.

We do commit to work that meets the agreed scope and a professional standard, and to rectify defects in our deliverables reported within 30 days of handover.

To the fullest extent permitted by law, Helium’s total liability for any claim arising from our services or this site is capped at the fees paid by you to Helium in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential loss (including loss of profit, data, or goodwill).

We keep your business information, strategy, and data confidential, and we expect the same of any confidential information we share with you. This obligation survives the end of our engagement.

Your personal information is handled in line with our Privacy Policy, which forms part of these terms.

These terms are governed by the laws of the Republic of South Africa. Any dispute will first be addressed through good-faith negotiation. Unresolved disputes fall under the exclusive jurisdiction of the South African courts in Johannesburg.

We may update these terms as our services evolve. The “Last updated” date at the top of the page reflects the current version. Continued use of the site after changes means you accept the updated terms.
